XPENG EVENT TERMS & CONDITIONS

These terms and conditions (these “Terms”) govern your registration for and participation at any XPENG event or Activity (“Event”) and are an agreement between XPeng European Holding B.V. with KvK number 81736061 ("XPeng," "we," "us," or "our") and you. You represent to us that you are authorized to enter into these Terms.

1. Event Registration

To register for an Event, you need to complete our registration form and (where applicable) pay respective registration fees prior to the deadline described on the respective registration page. By completing the registration, you confirm that you are at least 18 years of age on the date of the event. When registering, you warrant and represent that the information you provide when registering for an Event is truthful, accurate, and complete. If you also register for a third party, you warrant that you have the authority to represent and that the third party also agrees with the Terms. At last, Event registration is subject to availability and may close earlier under our sole discretion before the deadline.

2. Your Information

We handle your information in accordance with our Privacy Policy. You can find our Privacy Policy on [link].

3. Cancellation

You may choose to cancel your registration at any time provided that you have followed our cancellation instructions. If any fees have occurred for participation of an Event, such as registration fee, we would refund them via the same way of the payment. We do not however return administration fee, if applicable.

An Event may be cancelled by us at our sole direction for reasons based on such as security or health concerns, non-availability of venue or speakers etc. In case of cancellation, we will inform you in due time and refund any fees that you have paid to us based on our refund policy.

4. Safety and Security

The safety and security of the participants are important to us, due to security concerns, we may deny, limit, or cancel your Event registration before the start of an Event.

You shall not harass, physically or orally insult or attack participants, Event staff member or any other individual present at an Event, or act in any manner that could be considered as inappropriate in a public space. If you conduct any of the above behavior, we may deny, limit, or ask you to leave at any time during an Event.

If we deny your entry or ask you to leave on the basis of any security concerns against you or your inappropriate behaviors, you will not receive a refund.

5. Assumption of Risk

You acknowledge and agree that your attendance and participation in the Event is voluntary, and you understand the nature of the Event. To the maximum extent permitted by law, you agree that you solely assume the risks associated with attending and participating in the Event.

6. Limitation of Liability

To the extent permitted by applicable law, we and our affiliates shall not be held liable for any indirect, incidental, special, consequential, punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your registration for or participation at the Event.

If XPENG or any third party suffer losses due to your infringement of any rights, contracts, laws or regulations, you agree to bear all the responsibility. If XPENG suffers from any third-party claims due to your action, you agree to be responsible for resolving and indemnifying XPENG for all losses (including but not limited to investigation, evidence collection fees and lawyer fees) suffered by XPENG.

7. Miscellaneous

Governing Law: The Terms shall be governed by Dutch law without reference to its conflict of law rules.

Dispute: To the extent permitted by applicable law, parties shall first seek amicably means to dissolve the dispute, failing of which each party may submit the dispute to Netherlands Arbitration Institute (Stichting Nederlands Arbitrage Instituut; “NAI”) for arbitration. The seat of the arbitration shall be in Rotterdam, the Netherlands. The number of the arbitrator shall be one. The language of the arbitration shall be in English.
